1. Who we are

ReplyGuard is a difficult-client reply assistant operated by Akrinum OÜ (“Akrinum”, “we”, “us”, “our”). It drafts replies to client emails you submit, offers each reply in five tones, suggests next steps and identifies scope signals in the wording of the email. Akrinum OÜ is registered in the Estonian Commercial Register under registration code 16014688, with registered office at Harju maakond, Tallinn, Lasnamäe linnaosa, Sepapaja tn 6, 15551, Estonia and VAT ID EE102717822. 2. Acceptance of the Terms

By creating an account, clicking “Sign up”, “Register”, “Start Free” or similar, or by accessing or using the Service in any way, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you are authorised to bind that entity to these Terms. In that case, “you” and “your” refer to both you as an individual and that entity.

3. Eligibility

You may only use the Service if you are at least 18 years old and capable of entering into a legally binding agreement under applicable law. By using the Service, you represent and warrant that you meet these requirements.

4. Accounts and security

To use most features of ReplyGuard, you must create an account and provide accurate and complete information. You agree to keep your account information up to date and to maintain the confidentiality of your login credentials.

You are responsible for all activities that occur under your account. You must notify us immediately if you become aware of any unauthorised access to or use of your account.

5. Use of the Service

You agree that you will not, and will not permit anyone else to:

• use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• submit content that is illegal, defamatory, hateful, discriminatory, infringing, invasive of privacy, or otherwise objectionable;
• infringe or misappropriate the intellectual property or other rights of any person or entity;
• attempt to reverse engineer, decompile or otherwise derive the source code of the Service, except where permitted by mandatory law;
• circumvent or interfere with security features or access controls;
• use the Service to build competing products or services that replicate or substantially copy ReplyGuard.

6. AI-generated content, inputs and outputs

ReplyGuard enables you to submit a client email, an optional subject, optional extra context and your generation settings, such as the default tone and your scope concern (“Inputs”). From these it generates AI-produced reply packs, each containing a draft reply in five tones (Polite, Firm, Contractual, Emotional and Nervous), together with next-step suggestions and scope signals (“Outputs”).

You retain all rights you hold in your Inputs. Subject to your compliance with these Terms and any restrictions imposed by our upstream AI providers, you may use Outputs for personal or commercial purposes, including in client communications.

You are solely responsible for ensuring that your Inputs and your use of Outputs do not infringe any third-party rights and comply with applicable laws.

Outputs are generated by AI and may be inaccurate or incomplete. Scope signals are patterns noticed in the wording you submit: ReplyGuard does not read or verify your contracts or agreements and does not determine whether work is legally in or out of scope. Next steps are suggestions and do not determine anyone’s legal obligations. ReplyGuard does not guarantee payment, a response from your client, or that you keep a client.

We may process Inputs and Outputs to provide the Service, prevent abuse and improve ReplyGuard, as described in our Privacy Policy.

7. Intellectual property

The Service, including the ReplyGuard and Akrinum names, logos, brand elements, the website design, user interface, software code, documentation and other materials, are protected by intellectual property laws and are owned by Akrinum or its licensors.

Except for the limited rights expressly granted in these Terms, no rights, title or interest are transferred to you. You may not remove or modify any copyright, trademark or other proprietary notices.

8. Plans, credits, payments and VAT

ReplyGuard operates on a credit-based model. A free account includes 3 welcome credits, granted once per account. Generating one reply pack uses 3 credits. Additional credits are sold as one-time credit packs: there is no subscription and no automatic renewal. Credits currently do not expire while your account remains active.

Prices are shown in euros (EUR). Payments are made through Stripe Checkout. Any applicable tax, such as VAT, is calculated by Stripe at checkout based on the details you provide there. Payment receipts are available from the Billing page where Stripe provides one.

You agree to provide accurate billing information and authorise us and Stripe to charge your chosen payment method for all purchases, taxes and applicable fees.

9. Refunds

Unless required by mandatory consumer protection laws, purchases of credits and other paid features are non-refundable. This includes unused credits and situations where you decide to stop using the Service.

If we materially fail to provide the Service you paid for, we may, at our sole discretion, offer replacement credits or a partial refund. This does not affect your statutory rights as a consumer.

Credit restoration is not a refund of money. If a generation fails for a technical reason after credits were used for it, those credits are restored to your balance automatically.

10. Closing your account

You may ask us to close your account at any time by contacting us at contact@akrinum.com. Account closure is currently handled on request and is not available as a setting in ReplyGuard. We may need to verify your identity before acting on the request.

When your account is closed, the replies stored in it are deleted from the live service. We keep records we are required to keep, such as payment and accounting records, and deleted data can remain in infrastructure backups until those backups expire, as described in our Privacy Policy.

Closing your account does not entitle you to a refund of any fees already paid.

11. Term and termination

These Terms apply from the moment you first access the Service and remain in force until your account is closed or your access is otherwise terminated.

We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms or if we reasonably believe it is necessary to protect the Service, other users or third parties.

12. Communications

ReplyGuard sends the emails needed to provide the Service, such as account verification codes, password reset links, security notices and other messages about your account or the Service. These emails are part of the Service and are sent while your account is active.

13. Third-party services

The Service relies on third-party providers: OpenAI for generating Outputs, Stripe for payments, Google for optional sign-in and font delivery, Netlify and DigitalOcean for hosting, and Mailgun for service emails. ReplyGuard’s usage analytics are first-party and do not use third-party analytics tools. Our Privacy Policy describes what each provider receives and where data is processed.

Where you interact with a provider directly, for example when paying or signing in, your use of that service may be subject to its own terms and privacy policy.

14. Disclaimers

The Service and all Outputs are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we do not make warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of Outputs, or availability of the Service.

ReplyGuard’s Outputs are suggestions only. You are responsible for reviewing, editing and deciding what to send. Nothing in the Service constitutes legal, financial or other professional advice, and the Service is not a substitute for such advice.

15. Limitation of liability

To the maximum extent permitted by applicable law, Akrinum OÜ and its directors, employees and contractors shall not be liable for any indirect, incidental, special or consequential damages, including loss of profits, revenue, contracts, data, goodwill or business opportunities.

Our aggregate liability arising out of or in connection with the Service shall be limited to the total amount paid by you to us for the Service during the twelve (12) months immediately preceding the event giving rise to the claim, except where liability cannot be limited by mandatory law.

16. Indemnity

You agree to indemnify and hold harmless Akrinum OÜ from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of your use of the Service, your Outputs, your violation of these Terms, or your infringement of third-party rights.

17. Governing law and jurisdiction

These Terms are governed by the laws of Estonia, without regard to conflict of law rules. If you are a consumer in the EU, you may also benefit from mandatory consumer protection provisions of your country of residence.

Disputes shall be subject to the jurisdiction of the courts of Estonia, except where mandatory law provides otherwise for consumers.

18. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and may provide additional notice.

Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.
